If you enter these Terms on behalf of a legal entity, you represent that you are authorised to bind that entity.
You must be at least 18 years old to accept these Terms as an individual, or you must be signing on behalf of a business.
Rosterwave provides a subscription-based platform for staff scheduling, timesheet management, Australian Fair Work Modern Award-based payroll calculation, leave management, and business analysis.
The Service is delivered over the public internet. You are responsible for procuring the equipment and internet connectivity necessary to access it (browser, tablet for kiosk, etc.).
Features vary by subscription tier (Starter, Pro, Business). We may add, modify, or discontinue features from time to time; where a change is materially adverse to a paid tier, we will provide reasonable notice.
Each Customer receives a unique Company ID. All Authorised Users log in through that Company ID. Customer Data is logically and (where technically feasible) physically isolated per Company ID.
Every workspace has exactly one Owner. The Owner:

Rosterwave offers Starter (free), Pro, and Business tiers. All Fees are quoted in Australian Dollars (AUD) and, unless otherwise stated, include GST for Australian customers.
Paid plans are billed monthly in advance. Your subscription renews automatically at the end of each billing cycle until cancelled.
Payments are processed by our payment processor (currently Stripe). By providing payment details you authorise us and Stripe to charge your nominated payment method for all Fees due.
If a scheduled payment fails, we will attempt to notify the Owner and retry. Non-payment triggers a lifecycle:
Customer Data remains exportable at all stages until cancellation.

Fees are inclusive of GST for Australian Customers. Customers outside Australia are responsible for any applicable withholding tax, VAT, or equivalent levies in their jurisdiction.
We may change Fees on 30 days' notice to the Owner by email. Continued use after the effective date constitutes acceptance. If you do not accept the new pricing you may cancel before the effective date without penalty.
You and your Authorised Users agree not to:
Enforcement: We may investigate suspected violations. If we conclude a violation occurred we may (at our discretion) warn, temporarily suspend, or terminate your access without refund. Serious or repeated violations may be reported to law enforcement.
Rosterwave (and its licensors) retain all rights, title, and interest in the Service, including all software, design, documentation, know-how, and trademarks. Nothing in these Terms transfers any of our IP to you except the limited licence to use the Service during your subscription.
You retain all rights, title, and interest in Customer Data. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, display, and back up Customer Data solely to (a) provide the Service to you, (b) prevent or address service, security, or technical issues, and (c) comply with law.
If you provide us with suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use them without attribution or compensation. We are not obliged to act on any feedback.
We may not publicly identify you as a customer without your prior written consent (email confirmation is sufficient). If you do consent, we may use your name and logo on our website and marketing materials, and you may revoke consent at any time on 30 days' notice.
Our collection and handling of personal information is governed by our Privacy Policy. Where you upload personal information about your employees or other individuals, you are the "data controller" (or "APP entity") and Rosterwave acts as a data processor. You must have a lawful basis under the Privacy Act 1988 (Cth) for any personal information you upload.
A separate Data Processing Addendum (DPA) is available on request for Customers who need one for their internal compliance (e.g. Business tier customers, or those with GDPR exposure through EU staff). Email legal@rosterwave.com.
The Fair Work Modern Award interpretation, junior rate application, casual loading, penalty rates, overtime brackets, annual leave loading, and other payroll logic in the Service are provided as a calculation tool. They do not constitute legal or industrial-relations advice.
You are solely responsible for confirming that wages, entitlements, and record-keeping comply with the applicable Modern Award, enterprise agreement, individual contract, NES, and record-keeping requirements under the Fair Work Act 2009 (Cth).

We target the following monthly uptime for the Service:
Uptime excludes: planned maintenance (announced in advance), issues caused by your equipment or internet, third-party outages (payment processor, DNS, upstream ISP), and force majeure events.
If we miss the uptime target for a calendar month, on your written request within 30 days after month end we will credit your account as follows:
Service credits are your sole and exclusive remedy for uptime failures.
We aim to schedule maintenance outside AEST business hours (Mon-Fri 9am-6pm). Emergency maintenance may occur at any time.
Each party will keep the other's Confidential Information confidential and use it only to perform its obligations under these Terms. Confidential Information does not include information that is (a) publicly available through no breach, (b) known before receipt, (c) independently developed, or (d) required to be disclosed by law.
These confidentiality obligations survive termination of these Terms for a period of 5 years.
Each party warrants that it has the legal capacity to enter these Terms and that its performance will not violate any applicable law or agreement.
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or accuracy of Fair Work Modern Award calculations.
Nothing in these Terms excludes, restricts, or modifies rights under the ACL that cannot be lawfully excluded. Where our liability for a breach of a non-excludable ACL guarantee can be limited, our liability is limited (at our option) to (a) resupplying the Service or (b) paying the cost of resupply.
You will indemnify and hold harmless Rosterwave and its officers, directors, employees, and agents from and against any claim, loss, damage, cost, or expense (including reasonable legal fees) arising from:
Subject to the liability cap in clause 14, we will indemnify you against third-party claims that the Service infringes an Australian patent, copyright, or registered trademark. Our sole obligation is (at our option) to (a) modify or replace the Service to remove infringement, (b) obtain rights allowing continued use, or (c) refund unused prepaid Fees and terminate.
To the maximum extent permitted by law, our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service, whether in contract, tort (including negligence), statute, or otherwise, is limited to the greater of:

This clause does not limit either party's liability for (a) death or personal injury caused by that party's negligence, (b) fraud or fraudulent misrepresentation, or (c) any liability that cannot be limited by law.
Neither party is liable for delay or failure in performance caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, pandemic, government action, labour disputes, or failure of internet/telecommunications infrastructure. The affected party must notify the other and use reasonable efforts to resume performance.
From time to time we may offer features labelled "beta", "preview", "early access", or similar. These features are provided as-is without warranty and are excluded from the SLA in clause 10. We may modify or withdraw beta features at any time without notice.
During the term of these Terms and for 12 months after, neither party will directly solicit for employment any employee of the other party with whom they interacted through the Service, except through general public job postings.
We will maintain professional indemnity insurance and public liability insurance appropriate to the nature of our business. Certificate of currency available on request to Business tier customers.
You may cancel your subscription at any time through Settings. Cancellation takes effect at the end of the current billing period.
We may suspend or terminate your access on 30 days' notice for convenience, or immediately for:
We may revise these Terms from time to time. Material changes will be notified to the Owner by email at least 30 days before the effective date. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to a change, you may cancel before the effective date.
These Terms are governed by the laws of New South Wales, Australia. Each party submits to the exclusive jurisdiction of the courts of New South Wales for any disputes arising under these Terms.
Before commencing litigation, the parties will attempt in good faith to resolve any dispute through direct negotiation for at least 30 days.

Important: For employee records you upload (names, TFN, bank, wages, hours), you are the "APP entity" / data controller and Rosterwave is a data processor acting on your instructions. Your employees should direct access, correction, and deletion requests to you as their employer — not to Rosterwave directly. You are responsible for having a lawful basis to collect and process their information under the Privacy Act 1988 (Cth) and any applicable State law.
Your data is primarily stored in Australia (AWS Sydney region). Where we use overseas subprocessors (e.g. Stripe for payments), we take reasonable steps to ensure they comply with the Australian Privacy Principles or equivalent protections.

Fair Work updates Modern Award minima each year, typically effective 1 July. Rosterwave will attempt to update shipped rate tables within a reasonable time after publication. During any lag, or if you have overridden a rate in Settings, you must manually verify rates against the current Award text at fairwork.gov.au.
Junior rates are age-based percentages of the adult rate. Rosterwave applies the correct percentage based on the employee's profile.age value you enter. If age is wrong, blank, or the employee's birthday passes without you updating their record, junior rates may be incorrectly applied. You are responsible for accurate age data.

Suspected violations are investigated internally. Depending on severity we may:
Where lawful and reasonably practical, we will notify the affected Owner before terminating.
We may update this AUP from time to time. Material changes will be notified to the Owner by email.
Summary: Pro tier targets 99.5% monthly uptime. Business tier targets 99.9%. If we miss it, you get a service credit on your next invoice.

If Monthly Uptime falls below the applicable target, you are entitled (on written claim within 30 days after month end) to a Service Credit:

Service Credits are applied to future invoices only, are non-transferable, and are your sole and exclusive remedy for Availability failures. Service Credits do not entitle you to a cash refund.

We maintain a public status page at [status.rosterwave.com] showing current service status and incident history. This is the authoritative source for uptime records.
If you experience an outage or major service degradation:
For any incident causing Downtime of 30 minutes or more affecting Pro/Business tier customers, we will publish a post-incident review on the status page within 14 days, including root cause, timeline, and remediation steps.
We may amend this SLA on 60 days' notice. Reductions in uptime targets require your acceptance; you may cancel before the effective date without penalty.

The Starter plan is free. Nothing to refund.
Rosterwave subscriptions are billed monthly in advance. When you cancel, service continues until the end of the current billing period. Partial-month refunds are not generally provided because you retain full access until period end.
If you downgrade from a higher plan mid-cycle, the difference will be credited toward your next invoice, not refunded to your card.
If you upgrade to Pro or Business and are unsatisfied within 14 days of the upgrade, we will refund the most recent charge in full and downgrade you to Starter. Contact billing@rosterwave.com to request this.
No refund is due for periods when the account was locked due to non-payment.
Nothing in this policy limits your rights under Schedule 2 of the Competition and Consumer Act 2010 (Australian Consumer Law). If our Service:
you are entitled to a remedy including refund, cancellation, or compensation for reasonably foreseeable loss.
If you dispute a charge with your card issuer without first contacting us, we may suspend your account pending resolution. We prefer to resolve disputes directly first — email billing@rosterwave.com before opening a chargeback.
